An Italian lawyer with over twenty years’ experience, Emanuele Camandona is a Corporate and M&A partner at CastaldiPartners. He advises Italian and international clients on corporate transactions, strategic partnerships, complex contractual matters and real estate-related special situations. His in-house background enables him to approach transactions with a business-oriented perspective, combining legal structuring, negotiation strategy and project management, particularly in matters where legal, financial and operational issues are closely intertwined.
Career
Emanuele's recent work includes advising on complex real estate transactions and investment opportunities where corporate, financial, governance, regulatory and negotiation issues are intrinsically connected. This includes hospitality assets, mixed-use properties, distressed or non-standard ownership structures, and cross-border matters involving Italy and France.
Before joining CastaldiPartners, Emanuele held senior in-house legal roles for more than ten years. He served as Group General Counsel at Bolton Group, where he led the transformation of the legal function into a strategic business division. Previously, he was Head of Legal Affairs EMEA at Luxottica Group, advising on M&A transactions, complex commercial contracts, competition law and real estate matters, and actively contributing to the integration between Essilor and Luxottica.
Earlier in his career, after graduating with a dissertation in corporate criminal law, he worked for seven years in the Corporate M&A department of Chiomenti Studio Legale, in the Milan and New York offices.
Representative Matters
- Support to leading Italian groups in the IT and healthcare sectors in implementing the NIS2 directive and training their directors and officers on adequate cyber-risk management.
- Advised on a real estate club deal involving the acquisition of a landmark mixed-use property in the heart of Rome, comprising more than 30,000 sqm of space. The transaction, valued at over EUR 200 million, required the structuring and negotiation of a multi-investor investment vehicle, as well as the management of the legal, real estate and transactional aspects associated with a strategically significant asset.
- Advises on acquisitions and disposals of real estate assets and real estate holding companies.
- Advises on hospitality and hotel assets, including sale processes, due diligence, binding offers and deferred consideration structures.
- Advises on real estate special situations involving financial exposure, governance issues, shareholder disputes, liquidation scenarios or distressed assets.
- Advises on cross-border matters between Italy and France, including corporate, environmental and urban planning profiles.
- Advises on value-enhancement projects requiring coordination among owners, investors, lenders, technical advisors and specialist counsel.
